Terms of Service

These terms are an agreement between you and OnceOver LLC ("we," "us"), the company that operates GradeCharter. They cover this website (gradecharter.com) and the GradeCharter application (app.gradecharter.com), together the "service." By using the service, you agree to these terms. If you use it for a company, you confirm you have authority to accept these terms for that company, and "you" includes the company.

1. Who can use GradeCharter

GradeCharter is a business service for home inspection companies and the people who work for them. You must be at least 18 years old. Access is by invitation while we onboard companies, and we may approve or decline any waitlist request.

2. Your account

You sign in through a supported sign-in provider. Keep access to that account secure, and tell us right away at info@gradecharter.com if you think someone used it without permission. Company administrators are responsible for who they give access to and for activity under their company's accounts.

3. What GradeCharter does, and what it does not

GradeCharter reviews finished home inspection reports you upload. It checks them against the state Standards of Practice we support, reviews photos and writing, and returns a letter grade with findings and suggested fixes.

The scoring rules are deterministic, but findings are identified by AI, and AI is not perfect. Results can miss issues, flag issues that are not there, and vary by a few points between runs of the same report. GradeCharter is a quality review tool. It is not a home inspection, it is not legal advice, and it does not certify that a report complies with any law, standard, or license requirement. You and your inspectors remain responsible for every report you deliver. Review findings before acting on them.

4. Your content

You keep ownership of the reports and other content you upload. You give us permission to store, process, and analyze that content only as needed to provide, secure, and improve the service for you, as described in our Privacy Policy. Reports often include information about your clients and their properties. You confirm you have the right to share that information with us for this purpose.

5. Acceptable use

You agree not to:

  • upload content you do not have the right to share, or content that is unlawful or malicious;
  • try to access accounts, data, or systems that are not yours, or test or bypass our security;
  • overload, scrape, or interfere with the service, or use bots to submit requests;
  • copy, resell, or reverse engineer the service, or use it to build a competing product;
  • share your access with people outside your company.

6. Plans, billing, and credits

Paid plans, prices, and included credits are shown to you before you buy. Payments are processed by Stripe. Subscriptions renew each billing period until canceled. You can cancel at any time, and the cancellation takes effect as described in your plan. Except where the law requires otherwise, fees are not refundable, including for partial billing periods or unused credits. Prices do not include taxes, which we collect where required. We will give you notice before a price change applies to your plan. Any founding member or pilot terms agreed with you in writing apply in addition to these terms.

7. Early access and changes to the service

GradeCharter is growing quickly. Supported states, report software, and features will change over time. Some features may be labeled early access or be offered to a limited group, and they may change or end.

8. Our property and your feedback

The service, including the software, scoring rules, design, and the GradeCharter name, belongs to us and our licensors. These terms give you the right to use the service, not to own it. If you send us ideas or feedback, we may use them without any obligation to you.

9. Suspension and ending these terms

You can stop using the service at any time. We may suspend or end access if you break these terms, if your account is not paid, or if we need to protect the service or other customers. When access ends, the rights granted to you end. We will handle any remaining data as described in our Privacy Policy. Sections that by their nature should continue, such as ownership, disclaimers, limits of liability, and indemnity, continue after these terms end.

10. Disclaimers

The service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the service will be uninterrupted, error free, or that it will catch every problem in a report.

11. Limits of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, including claims arising from a report you delivered. Our total liability for any claim related to the service is limited to the greater of the amount you paid us for the service in the 12 months before the claim or 100 US dollars.

12. Indemnity

You agree to defend and hold us harmless from claims by third parties, including your clients, that arise from your reports, your content, or your breach of these terms.

13. Governing law

These terms are governed by the laws of the State of South Carolina, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Charleston County, South Carolina, and both parties consent to those courts.

14. Changes to these terms

We may update these terms as GradeCharter grows. We will post the new version here with a new date, and we will notify account holders of significant changes. Continuing to use the service after a change takes effect means you accept the updated terms.
